01 Acceptance of Terms

These Terms of Service ("Terms") govern your use of the EmberNestAI platform, website, AI voice agent, chatbot, and all related services ("Services") provided by EmberNestAI ("EmberNestAI", "we", "us", "our"). By creating an account or using our Services, you agree to these Terms and our Privacy Policy.

02 Description of Services

EmberNestAI provides AI-powered voice and chat automation tools for service businesses, including:

• AI voice agents that answer calls, book, reschedule, and cancel appointments
• AI chatbots that handle client queries, bookings, and lead capture
• Automated appointment reminders via SMS and WhatsApp
• Post-visit review collection and routing
• Custom AI training on your business knowledge base

03 Account Registration

To use EmberNestAI, you must create an account and provide accurate, complete information. You are responsible for:

• Maintaining the confidentiality of your account credentials
• All activity that occurs under your account
• Notifying us immediately of any unauthorized use of your account
• Ensuring your account information remains accurate and up to date

04 Subscription and Payment

EmberNestAI offers monthly and annual subscription plans. By subscribing:

• You authorize us to charge your payment method on a recurring basis
• Subscriptions automatically renew unless cancelled before the renewal date
• Annual subscriptions receive a 20% discount
• Founding business offer: the first 5 businesses to sign up receive a waived setup fee. After that, a one-time setup fee of $499 applies
• All fees are non-refundable except where required by law

05 Cancellation

You may cancel your subscription at any time from your account dashboard. Cancellation takes effect at the end of your current billing period. We do not offer prorated refunds for partial months. Upon cancellation, your AI agent will be deactivated at the end of the billing period.

06 Acceptable Use

You agree not to use EmberNestAI to:

• Violate any applicable laws or regulations
• Transmit spam, unsolicited messages, or misleading communications
• Infringe on the intellectual property rights of any third party
• Attempt to reverse-engineer or tamper with our AI systems
• Use the platform for any purpose other than legitimate business communications

07 Your Content and Data

You retain ownership of all business data, client information, and content you provide to EmberNestAI. By using our Services, you grant us a limited license to use your data solely to provide and improve the Services. We will never sell your business data or client information.

08 Intellectual Property

All EmberNestAI software, AI models, branding, and content are the exclusive property of EmberNestAI and are protected by applicable intellectual property laws. Your subscription grants you a non-exclusive, non-transferable license to use our Services.

09 Limitation of Liability

To the maximum extent permitted by law, EmberNestAI shall not be liable for any indirect, incidental, special, consequential, or punitive damages arising from your use of our Services. Our total liability shall not exceed the amount paid by you in the three months preceding the claim.

10 Disclaimer of Warranties

The Services are provided "as is" and "as available" without warranties of any kind. We do not warrant that the Services will be uninterrupted, error-free, or that AI responses will always be accurate. You use the Services at your own risk.

11 Changes to Terms

We may update these Terms at any time. We will notify you of material changes via email or a prominent notice on our website. Continued use of our Services after changes constitutes acceptance of the updated Terms.

12 Governing Law

These Terms are governed by the laws of the United States. Any disputes shall be resolved through binding arbitration in accordance with applicable rules, except where prohibited by law.
